1.1 These Terms and Conditions (the “Terms”) govern access to and use of the website published at lovemoresports.com and any associated pages, subdomains and online content operated by Lovemore Sports Ltd (the “Website”). By accessing, browsing or otherwise using the Website, you confirm that you have read, understood and agree to be bound by these Terms in full, together with any documents referred to within them.
1.2 If you do not accept these Terms, you must not access or continue to use the Website. Your continued use following the publication of any revised Terms will constitute acceptance of those revisions in accordance with clause 15.
1.3 Lovemore Sports Ltd is a company registered in England and Wales, with its registered office at 50 Grosvenor Hill Mayfair London W1K 3PZ (Company No.: 12872042). References to “we”, “us” and “our” are references to Lovemore Sports Ltd; references to “you” and “your” are references to the person accessing or using the Website.
1.4 These Terms should be read alongside our Privacy Policy and Cookie Policy, which describe how we collect, use and protect personal data and how we use cookies and related technologies. Together, these documents form the basis on which the Website is made available to you.
2. Definitions and Interpretation
2.1 In these Terms, unless the context otherwise requires, the following definitions apply. “Lovemore Sports”, “we”, “us” or “our” means Lovemore Sports Ltd; “Website” means the website and online materials described in clause 1.1; “User”, “you” or “your” means any person who accesses or uses the Website; “Client” means a person or entity that has entered into a duly executed written engagement with Lovemore Sports for the provision of Services; “Services” means the commercial representation, brand partnership, endorsement advisory, media production and related advisory services described in clause 4; and “Content” means all text, graphics, imagery, photographs, video, audio, data, layouts, designs, trademarks and other materials made available on or through the Website.
2.2 Headings are included for convenience only and do not affect the interpretation of these Terms. Words importing the singular include the plural and vice versa, and references to any gender include every gender. The words “including”, “include” and “in particular” are to be construed as illustrative and do not limit the generality of any preceding words.
2.3 A reference to a statute or statutory provision is a reference to it as amended, extended or re-enacted from time to time, and includes all subordinate legislation made under it.
3. No Client or Advisory Relationship Created Through the Website
3.1 The Website is provided for general information about Lovemore Sports and the nature of the Services we offer. Nothing on the Website, and no communication made through it, is intended to create, nor shall be construed as creating, any agency, representation, advisory, fiduciary, employment, partnership or other professional relationship between you and Lovemore Sports.
3.2 Submitting an enquiry, completing a contact form, sending correspondence or otherwise communicating with us through the Website does not establish any obligation on our part to provide Services, to represent you, or to act on your behalf. We are under no duty to respond to unsolicited enquiries and reserve the right, in our sole discretion, to decline any prospective engagement.
3.3 You should not send us any confidential or proprietary information through the Website in the expectation that a relationship of confidence has been established. Unless and until a written engagement is executed in accordance with clause 4, information you provide is received on a non-confidential basis, save to the extent it constitutes personal data governed by our Privacy Policy.
4. Nature of the Services and Basis of Representation
4.1 Lovemore Sports is a London-based sports management and commercial advisory firm. Our Services encompass the commercial representation of athletes and talent, the negotiation and management of brand partnerships and sponsorships, endorsement advisory, and the development and production of media and content through our in-house studio operation, Lovemore Studios.
4.2 We represent Clients solely under a duly executed written engagement agreement that sets out the scope, terms, duration and commercial arrangements applicable to that engagement. No Services are offered, and no representation is undertaken, except pursuant to such an agreement. Nothing contained on the Website constitutes an offer, invitation or commitment to represent any person or to provide any Services.
4.3 Descriptions of the Services on the Website are provided for information only. They do not constitute advice, a recommendation, or an assurance as to any particular outcome. The results of any commercial representation, partnership, endorsement or media initiative depend on numerous factors, many of which are outside our control, and we make no guarantee, representation or warranty as to the commercial performance, value or success of any engagement.
4.4 Where the Website features athletes, partners, campaigns or productions, such material is illustrative of the nature of our work and does not imply that comparable results can or will be achieved for any other person. Past engagements are not indicative of future outcomes.
4.5 Lovemore Studios undertakes media and content production as part of our broader advisory offering. Any references on the Website to production capabilities, showreels, campaigns or creative work are provided to describe the character of that offering and do not constitute an offer to license, sell or supply any production or creative service. All such work is undertaken solely under separately agreed written terms.
4.6 We reserve the right at any time and without notice to modify, suspend or discontinue the Website or any part of it, and to restrict access to some or all of the Website. We shall not be liable to you or to any third party for any such modification, suspension, discontinuance or restriction of access. We do not guarantee that the Website, or any Content on it, will always be available or uninterrupted.
5. Intellectual Property and Trademarks
5.1 All Content on the Website, together with the selection, arrangement and presentation of that Content, is owned by or licensed to Lovemore Sports and is protected by copyright, trademark, database and other intellectual property rights under the laws of England and Wales and, where applicable, the laws of other jurisdictions. All such rights are reserved.
5.2 The “Lovemore Sports” and “Lovemore Studios” names, wordmarks, logos and associated brand elements are trademarks of Lovemore Sports (whether registered or unregistered). Athlete names, images, likenesses and associated imagery displayed on the Website are used with permission and remain the property of their respective owners or licensors. Nothing on the Website grants any licence or right to use any such marks, names or imagery.
5.3 You may view, download and print extracts of the Content for your own personal, non-commercial reference, provided that you do not modify the Content, retain all proprietary notices, and do not reproduce, distribute, publish, transmit, adapt or exploit any Content for any commercial purpose without our prior written consent.
5.4 Any unauthorised use of the Content or the marks referred to in clause 5.2 may infringe intellectual property rights and may give rise to civil and, in certain circumstances, criminal liability. We reserve the right to take all steps necessary to protect our rights and those of our licensors.
6. Acceptable Use
6.1 You agree to use the Website only for lawful purposes and in a manner that does not infringe the rights of, or restrict or inhibit the use and enjoyment of the Website by, any third party. You must not use the Website in any way that is unlawful, fraudulent, or that has any unlawful or fraudulent purpose or effect.
6.2 You must not, without our prior written consent, use any automated system, software or process to extract, harvest, index, copy or otherwise collect data or Content from the Website, including any use of robots, spiders, scrapers or similar data-gathering or extraction tools. Systematic retrieval of Content to create or compile, directly or indirectly, any collection, compilation, database or directory is expressly prohibited.
6.3 You must not misrepresent your identity or affiliation with any person, impersonate Lovemore Sports or any of our personnel, Clients or partners, or otherwise convey a false impression as to your relationship with us.
6.4 You must not knowingly introduce viruses, trojans, worms, logic bombs or other material that is malicious or technologically harmful; attempt to gain unauthorised access to the Website, the server on which it is stored, or any server, computer or database connected to it; or attack the Website via a denial-of-service attack or a distributed denial-of-service attack. Any such breach may constitute a criminal offence and will be reported to the relevant law enforcement authorities.
6.5 We reserve the right, without liability or prior notice, to suspend, restrict or withdraw your access to the Website, in whole or in part, where we reasonably consider that you have breached this clause 6 or any other provision of these Terms.
6.6 You are responsible for ensuring that all persons who access the Website through your internet connection are aware of these Terms and other applicable terms and conditions, and that they comply with them. If you choose, or you are provided with, any identification code, password or other piece of information as part of our security procedures, you must treat such information as confidential and must not disclose it to any third party.
6.7 Any material you transmit or post to the Website, to the extent permitted, must not be defamatory, obscene, offensive, misleading, or in breach of any applicable law or the rights of any third party. We reserve the right, but assume no obligation, to remove or edit any such material and to disclose your identity to any third party who claims that material posted or transmitted by you constitutes a violation of their rights.
7. Third-Party Links and No Endorsement
7.1 The Website may contain links to third-party websites, resources or content that are not owned or controlled by Lovemore Sports. Such links are provided for your convenience only.
7.2 We have no control over, and accept no responsibility for, the content, availability, policies or practices of any third-party website or resource. The inclusion of any link does not imply endorsement, approval or recommendation by us of the linked site or of any product, service or information contained within it. You access third-party websites entirely at your own risk and subject to their own terms and policies.
8. Limitation of Liability
8.1 Nothing in these Terms shall limit or exclude our liability for death or personal injury caused by our negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot lawfully be limited or excluded under the laws of England and Wales.
8.2 Subject to clause 8.1, the Website and all Content are provided on an “as available” and “as is” basis. To the fullest extent permitted by law, we exclude all representations, warranties, conditions and terms, whether express or implied by statute, common law or otherwise, including any implied warranties as to accuracy, completeness, satisfactory quality, fitness for a particular purpose, or non-infringement.
8.3 To the fullest extent permitted by law, we shall not be liable to any User for any loss or damage, whether in contract, tort (including negligence), breach of statutory duty or otherwise, arising under or in connection with the use of, or inability to use, the Website, or reliance on any Content. In particular, we shall not be liable for any loss of profits, loss of business, loss of goodwill, loss of anticipated savings, or any indirect, special or consequential loss.
8.4 We do not warrant that the Website will be secure, uninterrupted, timely or free from errors or viruses. You are responsible for configuring your own information technology and platform in order to access the Website and for using your own virus-protection measures.
9. Indemnity
9.1 You agree to indemnify and hold harmless Lovemore Sports, together with its directors, officers, employees, agents and licensors, against all liabilities, costs, expenses, damages and losses (including reasonable legal fees) suffered or incurred arising out of or in connection with your breach of these Terms, your misuse of the Website, or your infringement of any intellectual property or other rights of any third party.
9.2 This indemnity shall survive the termination of your use of the Website and shall apply regardless of whether the relevant liability, cost, expense, damage or loss arises in contract, tort or otherwise. We shall be entitled, at our own expense, to assume the exclusive defence and control of any matter otherwise subject to indemnification by you, and you agree to co-operate with us in the defence of any such matter.
10. Force Majeure
10.1 We shall not be in breach of these Terms, nor liable for any failure or delay in the performance of any obligation, arising from or attributable to events, circumstances or causes beyond our reasonable control. Such causes include, without limitation, acts of God, fire, flood, severe weather, epidemic or pandemic, war, civil disorder, terrorism, industrial action, failure of utilities or telecommunications networks, and interruption or failure of any internet or hosting service.
11. Entire Agreement
11.1 These Terms, together with our Privacy Policy and Cookie Policy, constitute the entire agreement between you and Lovemore Sports in relation to your use of the Website and supersede all prior communications, representations and understandings, whether written or oral. Nothing in this clause shall exclude or limit any liability for fraud or fraudulent misrepresentation.
12. Severability
12.1 If any provision or part-provision of these Terms is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. If such modification is not possible, the relevant provision or part-provision shall be deemed deleted. Any such modification or deletion shall not affect the validity and enforceability of the remainder of these Terms.
13. Waiver
13.1 No failure or delay by us in exercising any right or remedy under these Terms or by law shall constitute a waiver of that or any other right or remedy, nor shall it prevent or restrict the further exercise of that or any other right or remedy. No single or partial exercise of any right or remedy shall prevent or restrict the further exercise of that or any other right or remedy.
14. Assignment
14.1 You may not assign, transfer, charge, sub-contract or otherwise deal in any of your rights or obligations under these Terms without our prior written consent. We may assign, transfer or otherwise deal with our rights and obligations under these Terms at any time, including in connection with any reorganisation, merger, acquisition or sale of our business or assets.
15. Variation and Changes to These Terms
15.1 We may revise these Terms from time to time to reflect changes in law, regulation, our practices or the operation of the Website. The version in force is the version published on the Website, and each version is identified by the “Last Updated” date shown on the title page.
15.2 We encourage you to review these Terms periodically. Your continued use of the Website following the publication of any revised Terms constitutes acceptance of those revisions.
16. Governing Law and Jurisdiction
16.1 These Terms, their subject matter and their formation (and any non-contractual disputes or claims arising out of or in connection with them) are governed by and construed in accordance with the laws of England and Wales.
16.2 You and Lovemore Sports each irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms or their subject matter or formation.
